<span style="font-size: 15px;font-family: 微软雅黑, "Microsoft YaHei";">电子合同是双方或多方当事人之间通过电子信息网络以电子的形式达成的设立、变更、终止财产性民事权利义务关系的协议。通过上述定义可以看出电子合同是以电子的方式订立的合同，其主要是指在网络条件下当事人为了实现一定的目的，通过数据电文、电子邮件等形式签订的明确双方权利义务关系的一种电子协议。</span>

<span style="font-size: 15px;font-family: 微软雅黑, "Microsoft YaHei";">我国现行的法律规定无法确认电子合同的形式属于哪一种类型，尽管电子合同与传统上的合同存在许多差别，但是在形式要件方面无法阻挡新科技转化为生产力的步伐，<strong><span style="color: #00b0f0;">立法已经在形式方面为合同的无纸化打开了“绿灯”。</span></strong>法律对数据电文合同应给予书面合同的地位，无论意思表示方式是采用电子的，光学的还是未来可能出现的其他新方式，一旦满足了功能上的要求，就应等同与法律上的“书面合同”文件，承认其效力。<strong><span style="color: #00b0f0;">《民法典》第469条中明确指出，以电子数据交换、电子邮件等方式能够有形地表现所载内容，并可以随时调取查用的数据电文，视为书面形式。而在《合同法》中的相关规定如下：书面形式是指合同书、信件和数据电文（包括电报、电传、传真、电子数据交换和电子邮件）等可以有形地表现所载内容的形式。</span></strong></span>

<strong><span style="font-size: 15px;color: #00b0f0;font-family: 微软雅黑, "Microsoft YaHei";">《民法典》第536条规定，债权人的债权到期前，债务人的债权或者与该债权有关的从权利存在诉讼时效期间即将届满或者未及时申报破产债权等情形，影响债权人的债权实现的，债权人可以代位向债务人的相对人请求其向债务人履行、向破产管理人申报或者作出其他必要的行为。</span></strong><span style="font-size: 15px;font-family: 微软雅黑, "Microsoft YaHei";">由此可见，在债权尚未到期的情况下，债权人行使紧急代位权的条件如下：“债务人的债权诉讼时效即将届满”或“未及时申报破产债权导致债权人债权受损的”。该条款明确规定了债权人可以代位向次债务人的管理人进行债权申报。</span>
